A franchise agreement runs to 80–120 pages and was written to protect the franchisor. Minerva Law's franchise solicitors read it, and the disclosure document, and tell you in plain English what matters, what is unusual and what departs from the Franchising Code.

Why a specialist review

A generalist can read the document. A franchise lawyer knows what it will do to you.

Three things we see prospective franchisees get wrong when they sign without specialist advice.

"It's non-negotiable."

Very few franchise agreements are. Franchise lawyers know which clauses franchisors routinely move on, and which they never will, so you spend your leverage where it counts.

"Sign by Friday."

The Franchising Code gives you at least 14 days with the documents before you sign. A deadline shorter than that is a pressure tactic, and the Code is on your side.

"The disclosure document covers it."

The disclosure document and the agreement often say different things. Our review cross-checks them so you know which one you are actually bound by.

Who reviews your documents

A strong specialist team behind every review, so your contract is safe before you sign.

Minerva Law is a specialist franchise law firm. Since 2013 our solicitors, special counsel and paralegals have acted for franchisors and franchisees across the whole lifecycle: entry, growth, disputes, exit. That depth is why we know which clauses will hurt you, and which are just noise.

Every Franchise Ease review is completed by a Minerva Law franchise solicitor and checked against the firm's franchise review standard, built on more than 2,800 agreements reviewed. You get the same standard whichever member of the team is on your file.

The Minerva Law review standard

  • Every page read by a franchise solicitor, not a checklist run by a generalist.
  • Disclosure document cross-checked against the agreement, clause by clause.
  • Every departure from the Franchising Code flagged and explained in plain English.
  • Restraints, fees, renewal, transfer and termination terms benchmarked against the systems we have reviewed.
  • A written report you can hand to your accountant, lender or business partner.
What a proper review protects you from

Franchisees who came to us after the fact.

De-identified matters from the firm's files. Every one of them would have looked different with the right advice before signing.

Experience across the sector

Franchise systems we have advised on

A selection of the Australian franchise brands whose agreements, disclosure documents or disputes the firm has worked on since 2013, for franchisees or franchisors.

Brand names are listed to show the breadth of the firm's franchise experience. They are the trade marks of their owners, and listing does not imply any affiliation with, endorsement by, or current instructions from the brand owner.

Before you decide

Questions worth asking.

Is a franchise agreement really non-negotiable?

Rarely. Franchisors protect the core of their system, but fees, territory, renewal, restraint and exit terms move more often than franchisees are told. The marked-up amendments and negotiation add-ons exist for exactly that.

How long do I have to review the documents?

The Franchising Code requires the franchisor to give you the agreement, disclosure document and Code at least 14 days before you sign or pay a non-refundable amount. A further 14-day cooling-off period applies after signing.

What documents do I upload?

The Franchise Agreement, the Disclosure Document and the Information Statement. If your pack includes a lease, licence, guarantee or other deeds, tick them as ancillary documents so they are reviewed too.

Can you review a resale (buying from an existing franchisee)?

Yes. Resales usually involve a transfer or a new agreement plus a business sale contract. Order the review and note the resale in your details; if the sale contract also needs reviewing we will quote it.

Who does the work?

A Minerva Law franchise solicitor, backed by the firm's franchise team. Every report is checked against the firm's review standard before it goes to you.

What if I need more than what's on this page?

Some deals do: multi-unit or master franchise arrangements, investments over $250,000, or a franchisor already in dispute with its network. Call us or book a call and we will scope and quote it.

Do not sign the franchise agreement until you have received and read your advice.

If the franchisor is pressuring you to sign before your review is complete, call Minerva Law on 1300 612 663. You are entitled to the full 14-day consideration period under the Franchising Code of Conduct.

Don't sign until you know what you're signing.
